Terms and Conditions

Welcome to Rignova Cloud Private Limited! These Terms and Conditions (the “Terms”) govern your access to and use of our SaaS platform, including all related services, features, content, and applications (collectively, the “Service”).

By accessing, subscribing to, or using the Service, you and the business or legal entity you represent (“you” or “Customer”) agree to be legally bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have this authority or do not agree to these Terms, you may not access or use the Service.

1. Definitions

1.1. "Account" means the Customer’s unique account created to access and use the Service.
1.2. "Customer Data" means any electronic data, information, or material submitted, uploaded, or transmitted by you or your Users to the Service.
1.3. "Service" means the Rignova Cloud SaaS platform and all related services, features, and content, as further described in your subscription plan or an applicable Order Form.
1.4. "User" means an individual employee or agent authorized by you to access and use the Service under your Account.
1.5. "Geo-Distributed" means the Service's operational design, which involves storing and processing Customer Data across multiple data centers located in different geographical regions to ensure performance, reliability, and regulatory compliance.
1.6. "Rignova" means Rignova Cloud Private Limited, an Indian company with its registered office at TREC-STEP Campus, Thuvakudi, Tiruchirappalli, Tamil Nadu - 620015, India.

2. Provision of Service

2.1. Access and License Grant. Subject to your compliance with these Terms and payment of all applicable fees, Rignova grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Service for your internal business operations during your subscription term.
2.2. Global Data Processing. The Service is geo-distributed by nature. By using the Service, you acknowledge and agree that Customer Data may be stored, processed, and accessed in various data centers globally, as determined by Rignova to optimize service delivery. You are solely responsible for ensuring your use of the Service, including the storage and processing of Customer Data, complies with all local and international laws and regulations applicable to your business and your Users.
2.3. Service Updates and Modifications. Rignova reserves the right to modify, update, or discontinue any part of the Service at any time. We will use commercially reasonable efforts to notify you of any material changes that may significantly affect your use of the Service.

3. User Accounts and Acceptable Use

3.1. Account Security. You are responsible for all activities that occur under your Account and for maintaining the confidentiality of your credentials. You agree to notify Rignova immediately of any unauthorized use or security breach of your Account.
3.2. Acceptable Use Policy. You agree not to, and shall not permit any third party to, use the Service for any unlawful, prohibited, or malicious purpose. This includes, but is not limited to:
- 3.2.1. Copying, modifying, or creating derivative works of the Service.
- 3.2.2. Reverse engineering, decompiling, or attempting to discover the source code of the Service.
- 3.2.3. Interfering with the integrity or performance of the Service or other customers' data.
- 3.2.4. Using the Service to store or transmit any material that is infringing, defamatory, libelous, or otherwise unlawful.
- 3.2.5. Storing or transmitting any viruses, worms, or other malicious code.
- 3.2.6. Gaining or attempting to gain unauthorized access to the Service or its related systems.
3.3. Responsibility for Children’s Data. You are solely responsible for ensuring that the collection and processing of any data relating to individuals under the age of 18 (minors) comply with all applicable children’s privacy laws. You acknowledge that Rignova does not verify the age of individuals whose data you enter into the Service.

4. Customer Data, Intellectual Property, & Privacy

4.1. Data Ownership. You retain all rights, title, and interest in and to all Customer Data. Rignova does not own, control, or have any right to use Customer Data except as necessary to provide the Service under these Terms.
4.2. License to Rignova. You grant Rignova a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and transmit Customer Data solely for the purpose of providing, maintaining, and improving the Service. This license includes the right to sub-license to our third-party service providers who assist in providing the Service.
4.3. Our Intellectual Property. The Service and all intellectual property rights therein (including all software, code, trademarks, and trade secrets) are the exclusive property of Rignova and its licensors. These Terms do not grant you any ownership rights in the Service.
4.4. Privacy and Data Protection. Our collection, use, and processing of Customer Data are governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to your data being handled in accordance with our Privacy Policy.

5. Payments and Billing

5.1. Fees. You agree to pay all fees for the Service as specified in your subscription plan or an applicable Order Form.
5.2. Invoicing and Payment. Fees are billed in advance on a recurring basis as per your subscription. You agree to pay all invoices on time. All payments must be made directly to our bank account or through the designated payment gateway available within the Service.
5.3. Taxes. You are responsible for all applicable taxes, duties, and other governmental charges, including GST, VAT, and sales tax, associated with your use of the Service.

6. Refunds, Cancellations, and Termination

6.1. Subscription Term. Your subscription to the Service will continue for the term specified in your subscription plan or Order Form (e.g., quarterly or annually), and will automatically renew for successive terms unless you cancel your subscription.
6.2. Customer Cancellation. You may cancel your subscription at any time by following the instructions within your Account settings. Your cancellation will be effective at the end of the then-current billing period. You will not be entitled to a refund for any fees paid for the current billing period, regardless of when you cancel.
6.3. No Refunds. All fees and payments are non-refundable. No refunds or credits will be provided for partial months of service, unused subscription periods, or for any reason once payment has been processed.
6.4. Termination by Rignova. Rignova reserves the right to suspend or terminate your Account and access to the Service for any reason, including, without limitation, your breach of these Terms, failure to pay fees, or for any activity that violates our Acceptable Use Policy. Upon termination, your right to use the Service will cease immediately, and you will not be entitled to a refund.
6.5. Data Upon Termination. Upon the termination or expiration of your subscription, Rignova will make your Customer Data available for download for a period of [e.g., 30 days]. After this period, your Customer Data will be deleted from our systems in accordance with our data retention policy. Rignova has no obligation to maintain or provide any Customer Data after this period.

7. Service Level Agreement (SLA)

Subject to the terms of the specific SLA that accompanies your subscription, Rignova will use commercially reasonable efforts to make the Service available.

8. Disclaimers & Limitation of Liability

8.1. Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." RIGNOVA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RIGNOVA MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8.2. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RIGNOVA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF RIGNOVA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RIGNOVA'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO RIGNOVA FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Rignova, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from or in connection with: (a) your use of the Service; (b) your breach of these Terms; or (c) your violation of any law or the rights of a third party.

10. Governing Law & Jurisdiction

10.1. Governing Law. These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
10.2. Exclusive Jurisdiction. Any and all disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Tiruchirappalli, Tamil Nadu, India.

11. General Provisions

11.1. Entire Agreement. These Terms, together with any applicable Order Form and our Privacy Policy, constitute the entire agreement between you and Rignova concerning the Service.
11.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
11.3. Force Majeure. Neither party will be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, pandemics, or natural disasters.
